STANDARD TERMS AND CONDITIONS OF SALE

1. ACCEPTANCE OF TERMS

The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. In order to be valid, any derogation must be expressly agreed to in advance in writing. By engaging our services, the client agrees to be bound by these terms and conditions.

2. PAYMENT TERMS

Our invoices are payable within 21 working days, unless another payment timeframe is indicated on either the invoice or the order. In the event of non-payment by the due date, Ito Management FZCO (Letzdoo) reserves the right to request a fixed interest payment amounting to 10% per annum of the sum remaining due. Ito Management FZCO (Letzdoo) will be authorized to suspend any provision of services without prior warning in the event of late payment.

3. DEBT RECOVERY

If a payment is still outstanding more than sixty (60) days after the due payment date, Ito Management FZCO (Letzdoo) reserves the right to call on the services of a debt recovery company. All legal expenses and collection costs will be payable by the client.

4. WITHHOLDING TAX

Certain countries apply withholding at source on the amount of invoices, in accordance with their internal legislation. Any withholding at source will be paid by the client to the tax authorities. Under no circumstances can Ito Management FZCO (Letzdoo) become involved in costs related to a country's legislation. The amount of the invoice will therefore be due to Ito Management FZCO (Letzdoo) in its entirety and does not include any costs relating to the legislation of the country in which the client is located.

5. ODOO SOFTWARE LICENSING

The client acknowledges and agrees that:

  • It is the client's sole responsibility to ensure it has proper and valid Odoo software licenses for its intended use
  • The client must acquire appropriate Odoo Enterprise or Community licenses directly from Odoo S.A. or authorized distributors
  • The client must comply with all Odoo licensing terms and conditions, including user limits, module restrictions, and usage policies
  • Ito Management FZCO (Letzdoo) does not provide, sell, or warrant Odoo software licenses
  • Any violation of Odoo licensing terms is the client's responsibility, and the client indemnifies Ito Management FZCO (Letzdoo) against any claims arising from license violations
  • The client must ensure ongoing license compliance throughout the implementation and post-implementation periods

6. SERVICE OBLIGATIONS

Ito Management FZCO (Letzdoo) undertakes to do its best to supply performant implementation services in due time in accordance with the agreed timeframes. However, none of its obligations can be considered as being an obligation to achieve results. Our services include Odoo implementation, configuration, customization, training, and support as specified in the project scope. Ito Management FZCO (Letzdoo) cannot under any circumstances be required by the client to appear as a third party in the context of any claim for damages filed against the client by an end consumer.

7. LIMITATION OF LIABILITY

Ito Management FZCO (Letzdoo)'s total liability for any claims arising from or related to the services provided shall not exceed the total amount paid by the client for the specific project phase where the issue occurred. Ito Management FZCO (Letzdoo) shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities.

8. CLIENT RESPONSIBILITIES

The client agrees to:

  • Provide timely access to necessary systems, data, and personnel
  • Participate actively in the implementation process, including testing and training
  • Provide accurate and complete information for system configuration
  • Designate qualified personnel for project coordination and decision-making
  • Ensure data backup before any implementation activities
  • Obtain all necessary internal approvals for system changes

9. INTELLECTUAL PROPERTY

Any custom developments, configurations, or modifications created specifically for the client during the implementation become the property of the client upon full payment. However, Ito Management FZCO (Letzdoo) retains the right to use general methodologies, techniques, and know-how developed during the project for other implementations.

10. CONFIDENTIALITY

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the project. This obligation survives the termination of the agreement.

11. DATA PROTECTION

The client remains the data controller for all business data processed through Odoo. Ito Management FZCO (Letzdoo) will handle client data in accordance with applicable data protection laws and regulations in the UAE and the client's jurisdiction.

12. CLAIMS AND WARRANTIES

In order for it to be admissible, Ito Management FZCO (Letzdoo) must be notified of any claim by means of a letter sent by recorded delivery to its registered office within 8 days of the delivery of the goods or the provision of the services. Any warranty claims must be submitted within 30 days of project completion or go-live, whichever is earlier.

13. SUPPORT AND MAINTENANCE

Post-implementation support and maintenance services are subject to separate agreements. Emergency support outside of agreed hours will be charged at premium rates as specified in the support agreement.

14. PROJECT CHANGES

Any changes to the agreed project scope must be approved in writing and may result in additional charges and timeline adjustments. Change requests will be evaluated and quoted separately.

15. TERMINATION

Either party may terminate the agreement with 30 days written notice. In case of termination, the client remains liable for all services rendered up to the termination date, and any prepaid amounts for uncompleted work may be refunded at Ito Management FZCO (Letzdoo)'s discretion.

16. FORCE MAJEURE

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or technical failures beyond their control.

17. GOVERNING LAW

All our contractual relations will be governed exclusively by United Arab Emirates law. Any disputes arising from these terms and conditions shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

18. SEVERABILITY

If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.
